Inamed Corp. said Thursday its board unanimously approved the company’s planned $3.2 billion buyout offer by Allergan Inc.
Inamed hasn’t yet signed the agreement. The Santa Barbara-based breast implant maker said the deal won’t be finalized until Irvine-based Allergan is satisfied with a due diligence investigation of Inamed’s wrinkle-smoother Juvederm.
On Tuesday, Inamed agreed to pay a $90 million breakup fee to end its $2.8 billion agreement to be acquired by Medicis Pharmaceutical Corp., which said it would not raise its offer to compete with Allergan’s bid.
