Countrywide Financial Corp. on Monday won a Delaware judge’s permission to settle a 2008 lawsuit filed by shareholders over Bank of America Corp.’s $2.5 billion takeover of the Calabasas mortgage lender.
Delaware Chancery Court Judge John Noble ruled that the settlement was fair and overruled objectors seeking additional money, according to a Bloomberg News report. Neither the value of the settlement, nor the additional sum sought were immediately available.
“The absence of a monetary benefit is not fatal to a settlement,” said Noble in an 18-page opinion. “It appears from the record that, but for the Bank of America acquisition, the Countrywide shareholders would have fared even more poorly.”
In a separate case two weeks ago, Bank of America of Charlotte, N.C. won a federal judge’s permission to pay $55 million to settle a case brought in Los Angeles by employees who said Countrywide misled them about its financial health, causing a drop in the value of their retirement fund.
