Premium denim company Blue Holdings Inc. has agreed to pay $32 million for Long Rap Inc.’s stores, which carry contemporary fashions for men and women.
Commerce-based Blue Holdings will get 24 stores under the nameplate Up Against the Wall for $16 million in cash and $16 million in Blue Holding’s common stock. The stores are concentrated in the Washington, D.C. metropolitan area, where Long Rap is based, and Virginia.
There are six stores on the West Coast, including locations in the Beverly Center, Northridge Mall and Westfield Fox Hills, and additions are expected soon in Las Vegas and Sacramento.
The deal has already been approved by the boards of Blue Holdings and Long Rap, but is still awaiting completion pending due diligence, an audit of Long Rap and finalization of the necessary financing. It is expected that the deal will be closed in September.
Blue Holdings is a Commerce-based manufacturer of premium denim, including the brands Antik and Yanuk. The company currently operates one store on Melrose Ave.
