Lawrence M. Braun is a partner in Sheppard’s Los Angeles office and the former leader of the firm’s Corporate Practice Group. With both a J.D. and an M.B.A. in Finance from Northwestern University, Braun brings a unique blend of legal and financial expertise to complex corporate transactions. He represents public and private companies in mergers and acquisitions, corporate finance, securities, and general business matters, advising clients across diverse industries such as technology, healthcare, consumer goods, aerospace, and food service. Over his distinguished career, Braun has acted as primary counsel on hundreds of M&A transactions, advising clients from family-owned businesses to multinational corporations. Recognized repeatedly by Chambers & Partners, Best Lawyers, Lawdragon, Super Lawyers, and the Los Angeles Business Journal, Braun is widely respected as one of the nation’s leading corporate and M&A attorneys. He is a frequent lecturer on mergers and acquisitions and a board member of ProVisors. When it comes to mergers and acquisitions of both private and public companies, Braun has held primary responsibility for approximately 500 transactions. He has performed cross-border transactions; distressed company M&A transactions, (including in bankruptcies); complex “corporate divorces” through redemptions and dissolutions; and numerous private placements of equity and debt securities. He also has experience with joint ventures and strategic alliances; executive incentive plans for private companies; and the negotiation of numerous complex business and financial relationships.
