AML Communications to Be Acquired

AML Communications, a Camarillo developer of components for defense electronics, has been acquired by a New York company in a deal valued at $29.3 million.

AML said that Syracuse-based Anaren Inc. will pay $2.15 per share for AML, a nearly 54 percent premium to the stock’s Friday closing. AML, which makes microwave amplifiers and integrated assemblies, will become a wholly owned subsidiary of Anaren’s space and defense group.

“AML’s leading microwave amplifier technology is an excellent fit for the space and defense group’s strategy to expand its technology base,” Anaren Chief Executive Lawrence Sala said in a statement.

AML earlier reported fiscal third-quarter net income of $333,000, (3 cents per share) down 21 percent from a year earlier. Sales were down 4.9 percent to $4.1 million. If approved by shareholders, the merger is expected to close by June 30.

AML shares closed up 68 cents, or 49 percent to $2.08 on the Over-the-Counter Bulletin Board.
