DirecTV Acquisition to Reduce Outsourced Servicing

DirecTV Group Inc. has completed two acquisitions, with a combined value of $74 million, which give it control over a significant portion of its satellite TV installation and home service network.

The El Segundo-based satellite TV provider said Wednesday that it paid $1.80 per share, or $46.7 million, to acquire 180 Connect Inc., a provider of installation, integration and fulfillment services. Englewood, Colo.-based 180 Connect, which has 3,200 employees in 13 states, will become a wholly owned subsidiary.

DirecTV, which has 17 million customers in the United States, had until now been outsourcing its installation and service operations to 12 different companies, such as 180 Connect.

In a related transaction, UniTek USA LLC acquired 180 Connect’s cable services operating unit and certain DirecTV installation services from DirecTV. In exchange, DirecTV gained cash and UniTek’s satellite installation services in New York and two California cities, Burbank and Bloomington.

DirecTV shares closed down 46 cents, or 2 percent, to $24.79 on the Nasdaq.
