Syntax-Brillian Corp. said Monday that it has agreed to buy Vivitar Corp. of Oxnard, a photographic and digital imaging products maker, for $26 million in stock.

The acquisition will move Syntax-Brillian, a Tempe, Ariz. company that last week announced the opening of the U.S.’s only HDTV manufacturing plant in Torrance, into the digital photography arena. Vivitar has established retail and distribution channels, which include Wal-Mart, Comp USA, Office Depot and Radio Shack.

The deal also includes Vivitar’s portfolio of intellectual property and patents.
