Verizon Communications Inc. said Tuesday it filed a registration statement with the Securities and Exchange Commission in connection with the company’s proposed acquisition of MCI Inc.
The registration statement includes a draft proxy statement and prospectus, and a proxy card that MCI will send to its stockholders to vote on the merger. The S-4 form also registers the more than 132 million Verizon common shares to be delivered to MCI stockholders at the closing of the transaction. The shares were registered at a maximum price of $25.13 per share.
